PenCC Board Member Job Descriptions

Peninsula Cycle Club is governed by a seven-member board of directors. Their duties are spelled out in the club's bylaws:


Section IV-B – Duties of the Chief Director
The Chief Director shall:

1. Preside at all Board of Directors meetings and Membership Meetings, ensuring that all

agendas are properly prepared;

2. Prepare and submit to the members the Annual Report;

3. Appoint Directors and/or Members to Committees; and

4. Exercise such other powers and duties as the Board may from time to time delegate to

the Chief Director.


Section IV-C – Duties of the Membership Director
The Membership Director shall:
1. Serve in the capacity of the Chief Director in the Chief Director’s absence;
2. Maintain the Club roster, applications for Club membership, and the inventory of Club
clothing, equipment, and other possessions; and
3. Exercise such other powers and duties as the Board may from time to time delegate to
the Membership Director.


Section IV-D – Duties of the Secretary
The Secretary shall:
1. Keep or cause to keep a full and organized record of the proceedings of all Club
meetings, including of the Membership, the Board, and Board committees;
2. Make or cause to make all correspondence of the Board;
3. Keep or cause to keep a full and organized record of all Resolutions, correspondences,
contracts, and other documents of the Club;
4. Make service of notices as may be required;
5. Keep or cause to keep a record of attendance at all Club meetings, and advise the Board
of vacancies at such meetings;
6. Make or cause to make all required governmental filings, excluding taxes;
7. Provide required certifications regarding the Corporation and make available to the
members and, as required, to the public all Corporate documents to which they may have
a right; and
8. Exercise such other powers and duties as the Board may from time to time delegate to
the Secretary.


Section IV-E – Duties of the Treasurer
The Treasurer shall:
1. Be responsible for the financial affairs of the Corporation;
2. Make regular financial reports to the Board;
3. Make or cause to make all tax filings, including IRS Form 990; and
4. Exercise such other powers and duties as the Board may from time to time delegate to
the Treasurer.


Section IV-F – Duties of the Race Director
The Race Director shall:
1. Establish and carry out a calendar of bicycle racing events, including at least one (1)
event annually as required by the Club’s affiliation with USAC;
2. Establish and maintain all necessary communications, including permit applications, to
ensure an ongoing affiliation with USAC; and
3. Exercise such other powers and duties as the Board may from time to time delegate to
the Race Director.


The duties of the Event and Ride Directors have not been spelled out in the club's bylaws, but they're fairly clear.
